Terms of Use

Effective: March 2026. Please read these terms carefully before using the 121212 Territories platform or participating in any auction.

1. Agreement to Terms

By accessing or using the 121212 Territories website, platform, or participating in any territory auction, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the platform or participate in any auctions.

We reserve the right to update these terms at any time. Continued use of the platform after changes constitutes acceptance of the revised terms. Material changes will be communicated via the platform or email to registered users.

2. Eligibility

You must be at least 18 years of age to participate in territory auctions or use the platform. By placing a bid or creating an account, you represent that you are of legal age and have the authority to enter into a binding agreement.

Territories are available to individuals and registered business entities worldwide, subject to applicable laws and regulations in your jurisdiction.

3. Territory Licensing

Winning a territory auction grants you a non-exclusive, revocable license to operate the designated subdomains within the 121212 network. Territory acquisition is a licensing arrangement, not a transfer of ownership of any intellectual property, domain names, or platform infrastructure.

All territory licenses are facilitated through eBay-hosted auctions. The terms of the eBay listing, combined with these Terms of Use, form the complete agreement between you and 121212 Territories.

4. Bid Process

All bids are placed through eBay and are subject to eBay's Buyer Protection policies and terms of service. Each auction runs for a 7-day period. The highest bidder at auction close wins the territory license.

Bids are binding. By placing a bid, you commit to completing the purchase if you are the winning bidder. Failure to complete payment may result in account suspension and forfeiture of future bidding privileges.

5. Territory Holder Obligations

As a territory holder, you agree to:

  • Actively maintain and curate content for your assigned subdomains
  • Comply with all applicable local, national, and international laws
  • Represent the 121212 brand with integrity and professionalism
  • Not use your territory for illegal, harmful, or discriminatory purposes
  • Respond to communications from the 121212 team within a reasonable timeframe
  • Maintain minimum activity standards as outlined in the Inactivity Policy

6. Sub-Licensing

District and State/Province tier holders may sub-license portions of their territory to approved individuals or entities, subject to approval by the 121212 team. Sub-licensing terms, revenue splits, and responsibilities are defined at the time of sub-license creation.

Block tier holders do not have sub-licensing rights unless explicitly granted in writing.

7. Intellectual Property

The 121212 brand, logo, domain names, platform code, and all associated intellectual property remain the exclusive property of 121212 Territories and its parent entities. Territory holders are granted a limited right to use 121212 branding within the scope of their licensed territory.

Content created by territory holders within their subdomains remains the intellectual property of the holder, subject to a non-exclusive license granted to 121212 Territories for platform display and promotional purposes.

8. Prohibited Conduct

You may not:

  • Use any territory for illegal activities, hate speech, or discriminatory content
  • Misrepresent your identity or authority as a territory holder
  • Attempt to transfer, sell, or assign your territory license without prior approval
  • Interfere with the operation of the platform or other territories
  • Scrape, copy, or redistribute platform data without authorization
  • Use automated tools to manipulate auction bids

9. Inactivity Policy

Territories that show no meaningful activity for 90 consecutive days may be subject to review. If no corrective action is taken within 14 days of notification, the territory license may be revoked and the territory re-auctioned.

Meaningful activity includes content updates, merchant additions, event listings, community engagement, or other actions that demonstrate active territory management. Inactive territories undermine the network and its community.

10. Transfers

Territory licenses may not be transferred, sold, or assigned to another party without prior written approval from the 121212 team. Approved transfers may be subject to a transfer fee and a review of the incoming holder.

11. Limitation of Liability

121212 Territories, its owners, operators, and affiliates shall not be held liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, participation in auctions, or operation of a territory.

Our total liability shall not exceed the amount you paid for your territory license. The platform is provided "as is" without warranties of any kind, express or implied.

12. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of New Mexico.
